General Terms and Conditions for the Use of Belegbote

§ 1 Scope and Contracting Parties

1.1 These General Terms and Conditions ("GTC") apply to the use of the service "Belegbote" (hereinafter "Belegbote" or "the Service"), accessible at app.belegbote.de and described at belegbote.de, which is operated by fino data services GmbH, Universitätsplatz 12, 34127 Kassel, Germany (hereinafter "fino"). Belegbote is a service of fino data services GmbH.

1.2 Belegbote is intended exclusively for entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB) who use the Service in the course of their commercial or independent professional activity. Consumers (Section 13 BGB) are excluded from use; by registering, the registering person confirms that they represent a business and are authorized to act on its behalf. This confirmation is stored with date and time.

1.3 The contracting party of fino is the business for which the registering person signs up (hereinafter "Customer"). A company account and a personal user access with the owner role for the registering person are set up for the Customer. The account owner may create additional users for the company account; the Customer is responsible for their conduct in connection with the use of Belegbote as for its own conduct.

1.4 These GTC apply exclusively. Deviating, conflicting or supplementary terms of the Customer do not become part of the contract unless fino expressly agrees to their validity in writing.

1.5 By completing the registration, the registering person accepts these GTC as binding on behalf of the business they represent.

1.6 If fino distributes Belegbote through sales partners in the future, deviations from these GTC may result from the general terms and conditions of the respective sales partner; § 16 applies accordingly to the introduction of such deviations.

§ 2 Subject Matter of the Contract

2.1 As part of Belegbote, fino provides the Customer with its own address in the Peppol network (Peppol address, Peppol ID) and an associated electronic mailbox through which the Customer can receive and send electronic invoices and other data sets permitted under the Peppol Business Interoperability Specifications, including XRechnung and Peppol BIS Billing 3, via the Peppol network.

2.2 fino is itself a certified Peppol Service Provider (Access Point) and operates its own Service Metadata Publisher (SMP); the Peppol services are provided without the involvement of any further, third-party Peppol service provider.

2.3 If a recipient addressed by the Customer cannot be reached in the Peppol network, the Customer may invite that recipient, using the invitation mechanism set out in § 9, to set up or register its own Peppol address.

2.4 In particular, the following are not part of Belegbote: the creation of invoices, audit-proof archiving in accordance with the German principles for the proper keeping and storage of books, records and documents in electronic form and for data access (GoBD), a DATEV export, bulk sending, and anonymous one-time sending without the Customer's own Peppol address. § 11 remains unaffected.

2.5 For the term of this contract, fino grants the Customer the simple, non-exclusive and non-transferable right to use the software and technical infrastructure of Belegbote within the scope of the functions described in these GTC. Any exploitation beyond this scope, in particular sublicensing, is not permitted.

2.6 Belegbote supports the Customer in receiving and sending electronic invoices via the Peppol network and in managing incoming and outgoing documents. Belegbote is a tool and does not replace the Customer's own organization. Responsibility for reviewing the content of, categorizing and classifying, and for retaining and backing up the documents received or sent via Belegbote lies with the Customer; §§ 4.1, 8.6 and 11 remain unaffected.

2.7 fino is entitled to use technical systems based on artificial intelligence methods in providing the services under these GTC, in particular to support identity and document verification under § 3, to detect misuse and fraudulent behavior, and to classify and process document data. The use of such systems does not change the content of the services owed under these GTC. fino does not make any decision that produces legal effects for the Customer or significantly affects it based solely on automated processing without the possibility of review by an employee of fino; § 3.6 remains unaffected. § 12 and the Data Processing Agreement apply to the processing of personal data in connection with the use of such systems.

§ 3 Registration, Conclusion of Contract and Identity Verification

3.1 Registration is carried out by a natural person on behalf of the business they represent. Login is possible by password, passwordless email code or passkey; additional two-factor authentication (TOTP) can optionally be activated. The email address provided must be verified during registration.

3.2 The contract is concluded as soon as fino accepts the registration by activating the company account. fino is entitled to reject a registration without stating reasons.

3.3 Before entering the Customer's Peppol address in the SMP operated by fino and in the SML of the Peppol network, fino verifies the identity of the registering business. Verification is based on suitable identifiers (in particular VAT identification number, Global Location Number, Leitweg-ID) and, where necessary, on proof uploaded by the Customer (e.g. an extract from the commercial register). Verification is predominantly automated; if doubts remain, fino carries out a manual review.

3.4 fino decides on registration and activation based on its own verification and on the binding criteria for identity verification (Entity Identification) set by OpenPeppol AISBL and the Peppol Authority responsible for Germany. There is no entitlement to registration or activation, in particular not as long as or to the extent that the required information or proof is not available, is incomplete or is no longer current.

3.5 The Customer is obliged to provide the information and proof required for identity verification completely and truthfully, to inform fino without undue delay of changes to the underlying circumstances (in particular the legal form or the authority to represent), and to submit updated proof upon request.

3.6 Verification under para. 3.3 is carried out using an AI-supported pre-check that compares the uploaded proof with the Customer's information. A positive pre-check may trigger activation automatically; a final rejection of the registration is always made by an employee of fino and not solely by automated means. Further details on processing are set out in the Privacy Policy.

3.7 Upon registration, the Customer's Peppol participant identifier and the associated technical delivery information are stored in the directory service operated by fino (Service Metadata Publisher) and in the Service Metadata Locator (SML) and can be retrieved by other participants in the Peppol network; this is the only way documents can be delivered to the Customer. The Customer is also published in the public Peppol Directory and can be found there. If the Customer's company name contains the civil name of a natural person, for example in the case of sole traders or freelancers, personal data will to that extent also be accessible to third parties.

§ 4 Obligations of the Customer

4.1 The Customer is solely responsible for the content of the documents sent and received via Belegbote and for its lawfulness, in particular compliance with VAT, commercial and contract law requirements. fino does not check the documents for accuracy of content, completeness or legal compliance.

4.2 The Customer must keep access credentials secret and prevent unauthorized access by third parties through appropriate measures. If the Customer suspects that access credentials have become known to third parties, it must inform fino without undue delay.

4.3 The Customer must not misuse Belegbote, in particular not to introduce malicious software, to impair other participants in the Peppol network, or to trigger invitations under § 9 without the actual intent to deliver required there.

4.4 The Customer is obliged to update changes to its contact details relevant to the performance of the contract, in particular its email address, in the customer account without undue delay or to notify fino of them. Once paid service packages are introduced under para. 5.2, this applies accordingly to the Customer's details relevant for invoicing.

4.5 Notices sent by fino in text form to the email address last provided by the Customer are deemed received when receipt could be expected in the ordinary course of events; this applies in particular to notices under § 5.3 and § 16.1.

§ 5 Free of Charge, Reservation of Fees and Future Service Packages

5.1 At market launch, Belegbote is provided free of charge in its current scope of services (registration, Peppol address, receiving and sending documents within the scope of ordinary use). No fee is charged; no payment method is collected.

5.2 fino reserves the right to limit the free scope of services to a certain usage volume in the future and to introduce paid service packages for usage beyond this or for additional functions beyond the basic scope.

5.3 The introduction of fees or usage limits under para. 5.2 will be communicated to the Customer in text form at least two months before taking effect and requires the Customer's renewed consent in the product (Legal Manager). If the Customer does not consent, it may terminate the affected service or the contract as of the effective date.

5.4 Once paid service packages are introduced under para. 5.2, the following additionally applies to their use (paras. 5.4 to 5.15): The Customer pays the respectively agreed fee plus statutory VAT using one of the payment methods offered by fino. If payment is made by SEPA direct debit, the Customer authorizes fino to collect the payments due from it from the account it has designated and instructs its bank to honor these direct debits.

5.5 Invoices are made available to the Customer electronically in the customer account; the Customer consents to receiving electronic invoices. The right to receive a paper invoice under Section 14(1) sentence 5 of the German VAT Act (UStG) is excluded.

5.6 The Customer bears the costs of a direct debit chargeback for which it is responsible, plus a flat processing fee of EUR 10.00. The Customer is entitled to prove that fino incurred no costs or lower costs.

5.7 If the Customer fails to comply with its obligation under para. 4.4 with regard to its details relevant for invoicing and fino therefore has to update the change in the customer account itself, the Customer bears the resulting costs in the form of a flat processing fee of EUR 10.00. The Customer is entitled to prove that no costs or lower costs were incurred.

5.8 fino notifies the Customer of the collection date and amount of each SEPA direct debit at least one (1) day before the due date in text form.

5.9 If the Customer is in default of payment of the agreed fee, fino is entitled to send the Customer payment reminders subject to a charge. The Customer bears the resulting costs in the form of a flat reminder fee of EUR 5.00 per reminder, but for no more than two reminders. The Customer is entitled to prove that fino incurred no costs or lower costs. Further statutory claims of fino, in particular to default interest under Section 288 BGB, remain unaffected.

5.10 If the Customer is in default of payment of the agreed fee in an amount of at least two monthly fees, fino is entitled to block the Customer's access to the paid scope of services until the arrears are settled; para. 6.3 applies accordingly. If the Customer is unsuccessfully requested to pay, with a deadline of at least two (2) weeks and a warning that the account will be deleted, fino is entitled to terminate the contract extraordinarily under para. 15.2 and to delete the customer account including the data stored in it; paras. 15.3 and 15.4 apply accordingly. In the deadline notice under sentence 2, fino informs the Customer of the option to back up its documents itself before deletion in accordance with paras. 8.6 and 11.3.

5.11 If the deletion of the customer account is based on para. 5.10, renewed use of Belegbote is only possible by way of new registration under § 3; there is no entitlement to restoration of the deleted data. If, at the Customer's request, fino reactivates a customer account that has merely been blocked, but not yet deleted, due to default of payment under para. 5.10, fino may charge a flat processing fee of EUR 40.00 for this. The Customer is entitled to prove that no costs or lower costs were incurred.

5.12 fino may change a recurring or usage-based fee for the paid scope of services at its reasonable discretion (1.) if the consumer price index for Germany published by the Federal Statistical Office has increased by more than 5 percent since the last price adjustment, in which case the extent of the increase is based on the increase in the consumer price index, or (2.) if and to the extent that the costs relevant for calculating the price increase as a result of unforeseeable circumstances not caused by and beyond the control of fino, in particular because statutory non-wage labor costs increase, new statutory, regulatory or technical requirements or new data protection requirements lead to increased costs of providing the service, or because services of other providers included in Belegbote, in particular of the Peppol network, are no longer available or only available in a modified form, without fino being responsible for this.

5.13 A price adjustment under para. 5.12 may take place, with respect to the affected service, no earlier than twelve months after the last price adjustment and will be announced to the Customer in text form at least two months before taking effect.

5.14 The Customer may terminate the service affected by the price adjustment or the contract in text form within one month of the announcement of the price adjustment, effective as of the date on which it takes effect.

5.15 If, in an individual case, it is doubtful whether a price adjustment is covered by the conditions of para. 5.12, fino will inform the Customer of this separately and obtain its express consent; para. 5.3 and § 16 remain unaffected.

§ 6 Blocking, Suspension and Termination of the Peppol Registration

6.1 fino is entitled to suspend or block the Customer's Peppol registration if there is reasonable suspicion of fraud, misuse (in particular of the invitation mechanism under § 9) or other unlawful use, or if the proof required under § 3 is not available, is incomplete or is no longer current.

6.2 fino is obliged to exclude the Customer from using the Peppol network if the responsible Peppol Authority so instructs due to suspicion of fraud, spam or other misuse. In such a case, there is no entitlement to continuation of the registration.

6.3 fino informs the Customer without undue delay of any block and its reason and lifts the block as soon as the reason no longer applies. During a block, the Customer cannot receive new documents. Access to documents already received and stored remains unaffected by the block.

§ 7 Transmission via the Peppol Network

7.1 The Customer may use Belegbote both to receive and to send electronic invoices and other data sets permitted under the Peppol Business Interoperability Specifications via the Peppol network.

7.2 fino gives no guarantee and no warranty that data sets sent or received via the Peppol network actually reach, or are transmitted by, the other party involved in the transmission completely, unchanged, without errors or within a certain period, to the extent that this depends on systems, acts or omissions of the other Service Provider (Access Point) involved in the respective transmission, of the other party itself, or of other third parties outside fino's own area of responsibility. fino remains responsible for technically complete, unchanged transmission in accordance with the applicable Peppol specifications on the transmission route operated by fino itself.

7.3 When sending, the completed electronic invoice provided by the Customer (XML or hybrid format) is merely technically validated by fino and transmitted under the Customer's own verified Peppol address; fino exerts no influence of its own on the content of the transmitted declarations and does not create invoices. Sending under a third-party sender name is technically impossible.

7.4 The decision to send a document via Belegbote lies solely with the Customer. fino technically executes the sending as soon as the Customer triggers it in the course of using Belegbote; the Customer is responsible for the correctness and intentionality of this triggering.

§ 8 Delivery to the Mailbox, Notification and Acknowledgment

8.1 Under the rules of the Peppol network, a document is deemed delivered upon receipt in the Customer's mailbox. This may trigger legal effects (e.g. the running of deadlines) regardless of whether the Customer has actually taken note of the document.

8.2 In this respect, fino's service under Belegbote consists of providing the mailbox and, if activated by the Customer, an email notification about newly received documents (optionally per document, hourly or as a daily summary). The notification contains only metadata (including sender, document number, amount), not the document itself.

8.3 There is no monitoring, control or reminder obligation beyond para. 8.2. In particular, fino is not obliged to send reminders about unread or unprocessed documents. Regularly taking note of received documents is solely the Customer's responsibility.

8.4 If the Customer deactivates the email notification, it is solely responsible for checking the mailbox itself at appropriate intervals.

8.5 Documents marked as deleted by the Customer in the inbox are first moved to a trash folder and are automatically and permanently deleted there after thirty (30) days. The Customer should download or otherwise back up any documents it needs before this period expires, in accordance with para. 11.3; para. 11.4 remains unaffected.

8.6 Responsibility for backing up, archiving and otherwise retaining documents outside Belegbote lies with the Customer. If documents are permanently deleted as a result of a deletion initiated by the Customer itself, including expiry of the period under para. 8.5, fino is not liable for the resulting loss; § 14 remains unaffected with regard to any independent fault on the part of fino.

§ 9 Invitations to Third Parties

9.1 If a recipient addressed by the Customer cannot be reached in the Peppol network, the Customer may, in connection with a specific, actually attempted delivery of a document, invite this recipient by email to set up its own Peppol address or to register an existing Peppol address. By triggering an invitation, the Customer confirms that a business relationship exists with the invited business in the context of which the delivery attempt is made.

9.2 The invitation identifies the Customer as the initiator ("on behalf of [Customer]") and states the metadata of the pending document (including invoice number, date, amount). Replies to the invitation are forwarded to the Customer.

9.3 The following limits apply to sending invitations: a maximum of 20 invitations per Customer per day and a maximum of 100 per Customer per calendar month; a maximum of one invitation per recipient address within 7 days and a maximum of three per calendar quarter; after 7 days without a response, at most one reminder is sent; an invitation expires after 28 days.

9.4 Each invitation contains an unsubscribe link. If the invited recipient objects, its address is permanently blocked for future invitations; the inviting Customer is merely informed that delivery is not possible. After an invitation expires, the recipient's email address is deleted; only a hash value is retained to ensure compliance with the limits under para. 9.3.

9.5 The Customer warrants that triggering an invitation is lawful vis-à-vis the respective recipient, in particular with regard to Section 7 of the German Act Against Unfair Competition (UWG). The Customer further warrants that it has obtained the prior consent of the respective recipient to be contacted by way of the invitation. fino merely provides the technical infrastructure within the limits set out in para. 9.3. The Customer indemnifies fino against third-party claims based on an invitation initiated by the Customer, unless fino has failed to comply with the limits under para. 9.3 or the other requirements of this § 9.

§ 10 AI Integration (MCP Interface)

10.1 The Customer may use OAuth to authorize its own AI assistants or other third-party applications to read its mailbox and send documents via Belegbote. Before authorization, the Customer is shown the respective client and the account concerned; the Customer may revoke the authorization at any time in the account settings.

10.2 Selecting and authorizing a third-party provider is the sole decision of the Customer. The third-party provider does not act as a sub-processor of fino; fino merely provides the technical interface through which data is transmitted, at the Customer's instigation, to the third-party provider chosen by the Customer. The Customer is responsible for the data protection and contractual permissibility of processing by the third-party provider it has chosen.

10.3 Actions taken under an authorization granted by the Customer under para. 10.1 are attributed to the Customer as its own actions.

10.4 For retrieving individual documents via the interface, time-limited access links are generated (valid for 15 minutes).

§ 11 Distinction from Archiving

11.1 Belegbote receives documents and stores them in the mailbox; however, Belegbote is not an archiving system within the meaning of the GoBD and is not an audit-proof archiving solution.

11.2 Compliance with commercial and tax retention obligations (including Section 257 of the German Commercial Code (HGB) and Section 147 of the German Fiscal Code (AO)) for documents received or sent via Belegbote is solely the Customer's responsibility. fino recommends that the Customer use a suitable GoBD-compliant archiving solution for this purpose, such as the GetMyInvoices service also offered by fino data services GmbH.

11.3 fino is not liable for retention of documents beyond the term of the contract or for GoBD-compliant retention. The Customer may download documents from Belegbote at any time for its own retention.

11.4 fino backs up the documents stored in the mailbox at regular intervals. There is no entitlement to restoration of documents that the Customer has deleted itself. The Customer remains the sole party entitled to dispose of the documents received and sent via Belegbote at all times; fino transmits or discloses these documents to third parties only in accordance with these GTC or on the Customer's instructions. The Customer must carry out the backup of documents incumbent upon it under para. 11.3 before the end of the contract term, as access to the mailbox ends upon termination of the contract. fino has no right to refuse or withhold the self-download of documents before termination of the contract.

§ 12 Data Protection and Data Processing

12.1 fino processes personal data in connection with Belegbote in accordance with the General Data Protection Regulation and the Privacy Policy at https://legal.finodata.com/belegbote/de/data-privacy.html.

12.2 Since fino processes personal data on behalf of the Customer in connection with Belegbote, the Data Processing Agreement available at https://legal.finodata.com/belegbote/de/dpa.html is concluded between fino and the Customer simultaneously with the conclusion of the contract; the registering person concludes it on behalf of the business they represent. The Data Processing Agreement forms part of the contract.

12.3 Para. 10.2 applies to the classification under data protection law of the use of third-party providers via the AI integration under § 10.

12.4 fino treats the documents transmitted and stored via Belegbote and their contents confidentially and does not analyze them for its own purposes, unless this is necessary to provide the contractually agreed services. If fino uses subcontractors to provide these services, fino obliges them to maintain confidentiality in a comparable manner.

12.5 If the Customer or a person acting on its behalf is a professional secrecy holder within the meaning of Section 203 of the German Criminal Code (StGB) (such as a lawyer, tax advisor or physician) and documents containing correspondingly protected information are transmitted or stored via Belegbote, the Customer may conclude with fino a separate agreement on safeguarding professional confidentiality obligations under Section 203 StGB, available at https://legal.finodata.com/belegbote/de/confidentiality-obligation.html. Without concluding this separate agreement, the use of Belegbote in this respect is at the Customer's own responsibility.

12.6 fino may amend the Data Processing Agreement and its annexes, in particular the technical and organizational measures and the list of sub-processors. Such an amendment will be communicated to the Customer and requires renewed consent in the product (Legal Manager); § 16 applies accordingly.

12.7 To the extent that fino processes the proof to be submitted under § 3 in order to fulfill its own verification obligations towards the Peppol Authority, in particular for identity and authority verification before registration and for documenting this verification, fino is to that extent an independent controller within the meaning of the General Data Protection Regulation and not a processor of the Customer. Further details are set out in the Privacy Policy.

12.8 In addition to the confidentiality under para. 12.4, fino undertakes to maintain secrecy regarding all confidential matters of the Customer that come to its knowledge in the course of preparing, performing and fulfilling this contract, in particular its trade and business secrets, and neither to disclose nor otherwise exploit them; this does not apply to the extent that such information becomes public knowledge or the Customer's interest in secrecy has evidently ceased. fino obtains knowledge of such secrets only to the extent necessary to perform the contract. The duty of confidentiality under this paragraph does not apply to the extent that fino is obliged to disclose information on the basis of an official or court decision; fino will inform the Customer of this to the extent legally permissible.

§ 13 Availability

13.1 Belegbote is currently provided free of charge. No specific availability is guaranteed; no service level agreement applies.

13.2 The minimum requirements for operational readiness and service quality to which fino is subject as a certified Peppol Service Provider towards the responsible Peppol Authority and OpenPeppol AISBL remain unaffected.

13.3 fino's authorization to provide Peppol services is based on a contract with the Peppol Authority responsible for Germany. This contract can be terminated by either party with six months' notice and ends automatically if fino is no longer a member of OpenPeppol AISBL; in the event of a serious or continued breach of the requirements of the Peppol network, the Peppol Authority may also temporarily or permanently revoke fino's authorization to provide Peppol services. If fino's authorization ends for any of these reasons, the possibility of providing the Peppol services to the Customer as part of Belegbote also ends; fino will inform the Customer of this in advance and in good time, to the extent legally and practically possible.

§ 14 Liability

14.1 fino is liable without limitation for intent and gross negligence, under the German Product Liability Act, and for damages arising from injury to life, body or health.

14.2 In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), the fulfillment of which makes the proper use of Belegbote possible in the first place and on whose observance the Customer may regularly rely, fino's liability is limited in amount to the foreseeable damage typical for the contract at the time the contract was concluded.

14.3 In all other respects, fino's liability is excluded, in particular for indirect damage such as lost profits.

14.4 The above limitations of liability also apply in favor of fino's vicarious agents and legal representatives.

14.5 § 7(2) and (3), § 8(2) to (4), § 9(5) and § 11(3) remain unaffected as independent provisions governing the scope of the services owed by fino or the allocation of responsibility between the parties.

14.6 If, despite appropriate state-of-the-art security measures, third parties gain unauthorized knowledge of documents or data transmitted or stored via Belegbote, fino is not liable for this provided that fino has complied with the technical and organizational measures required under Art. 32 GDPR and these GTC.

14.7 fino is not liable for damage resulting from the ending or revocation of fino's authorization to provide Peppol services under para. 13.3, unless fino itself culpably caused this circumstance.

14.8 fino's no-fault liability for defects already existing at the time the contract is concluded is expressly excluded; the preceding paragraphs remain unaffected.

14.9 If a third party asserts against the Customer that the software or infrastructure provided by fino infringes its rights, in particular intellectual property rights, the Customer must notify fino of this without undue delay in text form and, upon request, grant fino all powers of attorney and authorizations necessary for the legal defense. If third-party rights are thereby infringed, fino will, at its own choice and expense, either procure for the Customer the right to use or modify the affected service so that it is free of third-party rights; otherwise, the preceding paragraphs of this § 14 apply to any further claims of the Customer. If a contracting party culpably infringes third-party rights, it indemnifies the other contracting party against the resulting claims, damages claims and reasonable costs of legal defense upon proof; the contracting party against which a claim is made may settle with the third party or acknowledge its claims only with the prior written consent of the other contracting party.

§ 15 Term, Termination, Account Deletion

15.1 The contract runs for an indefinite period and may be terminated by the Customer at any time via the customer account in the application (self-service), by email to support@belegbote.de, or by post to fino's address stated in § 1.1. Termination by any other means, in particular by a note in the reference field of a payment, is excluded and does not constitute a valid notice of termination. Once fino has introduced paid service packages under § 5, the notice periods communicated at that time additionally apply to the affected scope of services.

15.2 Either party may terminate the contract without notice for good cause, in particular in the event of a culpable breach by the other party of essential obligations under these GTC.

15.3 Upon account deletion, the Customer's Peppol address is removed from the SML and the SMP, pending invitations are cancelled, and the company account together with personal user accesses (unless linked to another company account) is deactivated or deleted.

15.4 This does not affect the retention of Peppol transport evidence and transmitted documents by fino as a Peppol Service Provider in the context of its own obligations towards the responsible Peppol Authority, nor the retention of records of consent to the GTC and the Data Processing Agreement in the Legal Manager. Further details are set out in the Privacy Policy.

15.5 Good cause for extraordinary termination by fino within the meaning of para. 15.2 exists in particular if one of the reasons set out in para. 6.1 applies or if the Customer repeatedly breaches essential obligations under these GTC, in particular under § 4 or § 9.5.

15.6 In addition to para. 15.1, fino may also terminate the contract ordinarily with one (1) month's notice. If a contract term within the meaning of para. 15.1 sentence 2 applies to the Customer, fino may terminate ordinarily at the earliest as of the end of the respective contract term.

§ 16 Amendments to These GTC

16.1 fino may amend these GTC, in particular to adapt them to changed legal or technical conditions or to introduce fees or usage limits under § 5. Amendments will be communicated to the Customer in text form at least two months before taking effect and require renewed consent in the product (Legal Manager).

16.2 If an amendment creates new costs or obligations for the Customer, the absence of an objection is not deemed consent; the Customer's express consent is required for this. If the Customer does not consent, it may terminate the affected service or the contract as of the effective date.

§ 17 Final Provisions

17.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

17.2 The place of performance and, if the Customer is a merchant or a legal entity under public law, the exclusive place of jurisdiction is Kassel.

17.3 Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.

17.4 The Customer may only set off claims against fino's claims with undisputed or legally established claims.

17.5 These GTC apply from 23 September 2026.

17.6 The contract language is German. If fino makes these GTC, the Data Processing Agreement or parts of the user interface available in other languages, only the German version is authoritative in the event of discrepancies.
